1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service.
You are responsible for all activity under your account, for keeping your credentials secure, and for the actions of teammates you invite.
You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorized use of your account.
2. The Service
Unbroker Cloud lets you deploy applications, run managed databases and related infrastructure, and manage them through our console, APIs and command-line tools.
We are continually improving the Service and may add, change or remove features. For material changes that adversely affect you, we will give reasonable notice where practical. Features labeled beta or preview are provided as is and may change or be withdrawn.
3. Your content
You retain all ownership of the code, data and other content you deploy or store (“Your Content”). We claim no ownership over it.
You grant us a limited license to host, copy, process and transmit Your Content solely as needed to operate and support the Service.
You are responsible for Your Content, for having the rights to use it, and for ensuring it and your use of the Service comply with applicable law.
4. Acceptable use
You may not use the Service to host or distribute malware, send unsolicited bulk email or spam, mine cryptocurrency without our prior written approval, host unlawful or infringing content, or violate any law.
You may not attempt to disrupt the Service, gain unauthorized access to systems or data, circumvent usage limits, or place an unreasonable load on the platform.
We may suspend or limit resources that threaten the stability or security of the platform or that violate these Terms, and will notify you as soon as practical.
5. Fees and billing
The Service is offered on a subscription plus metered-usage basis. You authorize us and our payment processor to charge your payment method for all fees you incur.
Charges are due upon invoice and may be automatically collected from your payment method. You are responsible for any taxes other than taxes on our net income.
Past-due balances may result in suspension of resources. You remain responsible for fees accrued before suspension. We may change prices with advance notice; changes apply to future billing periods.
Except where required by law, fees are non-refundable.
6. Third-party services
The Service integrates with third-party products (for example GitHub, Google and Stripe). Your use of those products is governed by their own terms, and we are not responsible for them.
7. Intellectual property
The Service, including its software, design and trademarks, is owned by Unbroker and protected by law. We grant you a limited, revocable, non-transferable right to use the Service in accordance with these Terms.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
8. Term and termination
You may stop using the Service and close your organization at any time.
We may suspend or terminate your access for material breach of these Terms, with notice where feasible, and immediately where your use causes serious harm or is unlawful.
After termination you can export your data for 30 days, after which it is permanently deleted. Provisions that by their nature should survive termination (such as fees owed, disclaimers, limitations of liability and indemnities) will survive.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, and we do not offer an uptime guarantee unless we agree to one in a separate written agreement.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the three (3) months before the event giving rise to the claim.
11. Indemnification
You agree to defend and indemnify Unbroker against claims, losses and expenses arising from Your Content, your use of the Service, or your breach of these Terms or of applicable law.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.
You and Unbroker agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not otherwise resolved.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the console. Your continued use of the Service after an update means you accept the revised Terms.
14. General
These Terms are the entire agreement between you and Unbroker regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
